# What’s an OS worth?

C.H. Robinson, the largest freight broker in the United States, has spent the past few years rebuilding how it runs, and it now believes that what it learned in the process is valuable enough to install elsewhere. On Monday, they [agreed to acquire rival RXO](https://investor.chrobinson.com/news/press-releases/news-details/2026/C-H--Robinson-to-Acquire-RXO-Redefining-the-Future-of-Third-Party-Logistics-While-Unlocking-Significant-Shareholder-Value/default.aspx?ref=cpj.fyi) for an implied $5.8 billion enterprise value. The deal is expected to close in the first half of 2027.

(What's a freight broker? They sit between companies that need to move goods and the carriers that move them, arranging freight across a large network of contract truckers and other transportation providers. RXO does basically the same thing.)

[Its merger presentation compares](https://www.sec.gov/Archives/edgar/data/1929561/000119312526413211/d115124d425.htm?ref=cpj.fyi) RXO’s current adjusted gross profit per employee with C.H. Robinson before and after its own operating overhaul, and RXO today looks a lot like the old Robinson.

So, to the title of this article: C.H. Robinson expects roughly $300 million in annual net run-rate cost savings within two years of closing. Around 80% is supposed to come from cost-to-serve and shared services, via redesigned workflows, improved productivity, centralized work and deduplicated functions.

The company plans to apply what it calls its “Lean AI” operating model across RXO. While I don’t love the name, I do love the parallels to the [Danaher Business System](https://www.danaher.com/how-we-work/danaher-business-system?ref=cpj.fyi) (DBS), a similarly unsexy but valuable operating system. Business priorities cascade into operating goals. Teams work against scorecards and action plans. Managers repeatedly measure performance and redesign workflows. More than 450 engineers and data scientists support the system, including more than 100 internally built AI agents working on pricing, carrier matching, pickup and delivery coordination and shipment monitoring.

C.H. Robinson says enterprise productivity has increased more than 60% since the end of 2022, presumably from this Lean AI operating model. To their credit, in the second quarter of 2026, adjusted gross profit rose 6.5% and adjusted operating income rose 19.5%, while average employee headcount fell 10.8%. Adjusted operating margin excluding restructuring rose from 31.8% to 35.7%. The company also carried more freight in a down market. North American Surface Transportation volume grew 1.5% while the Cass Freight Shipment Index fell 3.3%. It was C.H. Robinson’s 13th consecutive quarter of market outgrowth.

A company can develop an acquisition capability beyond finding targets, financing deals and combining operations. It can develop a repeatable way to run the companies it buys. Danaher is the canonical example of this move; [its business system became part of the logic](https://www.danaher.com/how-we-work/acquisitions?ref=cpj.fyi) for what it could acquire and what those businesses might be worth under different management.

Investors were skeptical of this new merger, though. RXO has different systems, customers, processes, leaders and businesses. Some of its productivity gap may be removable waste. Some may reflect real differences in the work. The $300 million remains a forecast, and C.H. Robinson’s shares fell sharply after the announcement. Reuters Breakingviews [calculated](https://www.reuters.com/commentary/breakingviews/all-weather-ma-mavens-legacy-is-hit-by-storm-2026-10-05/?ref=cpj.fyi) that the prospective return looks fairly ordinary even if management delivers the projected savings.
